MEMBERSHIP TERMS AND CONDITIONS

IMPORTANT – PLEASE READ THESE TERMS BEFORE JOINING OR USING THE DR KELLYN DEMENTIA COMMUNITY.

These Terms explain the legal relationship between you and WISER Health and Social Care Ltd trading as Dr Kellyn. By purchasing, accepting or using a membership or any Community service, you agree to these Terms and any specific information shown to you at sign-up.

The Dr Kellyn Dementia Community is designed to provide accessible dementia education, peer and group support, expert-led information and signposting for people affected by dementia. These Terms are intended to make clear what the Community provides, how members are expected to participate, and the limits of the service.

1. DEFINITIONS

1.1 In these Terms:

“Community” means the Dr Kellyn Dementia Community, including its online membership area, support groups, webinars, educational materials, recordings, resources and related services made available by us from time to time.

“Content” means all information, written materials, videos, recordings, presentations, downloads, training or educational resources and other materials provided by us through the Community.

“Membership” means the access arrangement you purchase or are granted, including any monthly, annual, trial, complimentary or other access period.

“Membership Period” means the period for which your Membership remains active.

“Member Content” means information, comments, messages, images, documents or other material that you upload, post or share through the Community.

“we”, “us” and “our” mean WISER Health and Social Care Ltd trading as Dr Kellyn, Southcote, Southampton Road, Cadnam, SO40 2NF.

“you” and “your” mean the individual member using the Community.

1.2 Your specific price, billing frequency, Membership Period, trial terms (if any) and any promotional conditions will be shown at the point of purchase or in your order confirmation. Those details form part of your agreement with us.

2. WHAT THE COMMUNITY PROVIDES

2.1 Subject to your Membership, we grant you a personal, non-exclusive, non-transferable right to access and use the Community for your own personal educational and support purposes.

2.2 Depending on the Membership you choose, the Community may include online peer-support groups, educational webinars, expert-led sessions, recorded or written resources, signposting and other dementia-related information and support.

2.3 We may add to, change, reschedule or withdraw particular sessions, speakers, resources or features where reasonably necessary. We will aim to avoid changes that materially reduce the overall Membership service and will communicate significant changes where practicable.

2.4 Membership does not guarantee that any particular professional, speaker or session will be available at a specific time.

3. MEMBERSHIP, PAYMENT, RENEWAL AND CANCELLATION

3.1 The price and billing frequency for your Membership will be clearly displayed before you purchase. Unless stated otherwise, fees are payable in advance.

3.2 Where your Membership renews automatically, we will tell you before you purchase. You authorise us or our payment provider to take recurring payments at the stated interval until you cancel.

3.3 You may cancel a recurring Membership at any time in accordance with the cancellation method explained at sign-up or by contacting us at info@drkellyn.co.uk. Unless consumer law gives you a right to an earlier refund, cancellation normally prevents the next renewal and access continues until the end of the already-paid Membership Period.

3.4 Where we offer a free or reduced-price trial, the length of the trial, what is included and whether it converts automatically to a paid Membership will be stated at sign-up. You should cancel before the stated conversion date if you do not wish to continue on the paid Membership.

3.5 Nothing in these Terms limits any statutory cancellation, refund or other consumer rights that apply to you. Where the law gives you rights that cannot be excluded, those rights take priority over these Terms.

3.6 If a payment fails or remains overdue, we may suspend access while we contact you and give you a reasonable opportunity to resolve the payment issue.

4. COMMUNITY STANDARDS AND GROUP PARTICIPATION

4.1 The Community is intended to be supportive, respectful and psychologically safe. You agree to treat other members, facilitators and speakers with dignity and respect.

4.2 You must not use the Community to harass, threaten, discriminate against, intimidate or abuse another person; post unlawful, defamatory, obscene or deliberately harmful material; impersonate another person; or use the Community for unsolicited commercial promotion.

4.3 Support groups are shared spaces. You should not disclose another member’s personal story, identifying information or contribution outside the group without that person’s clear permission.

4.4 You must not record, photograph, screenshot, livestream or otherwise capture an online support group, member discussion or private Community interaction unless we have expressly authorised this and all affected participants have been appropriately informed.

4.5 We ask members to protect one another’s privacy, but because groups involve other participants, we cannot absolutely guarantee that another member will maintain confidentiality. Please consider this when deciding what personal information to share.

4.6 We may mute, remove, suspend or terminate a member’s participation where reasonably necessary to protect members, facilitators, the Community or the integrity of the service, including where there is serious or repeated breach of these standards.

5. SAFEGUARDING AND URGENT CONCERNS

5.1 The Community is not an emergency, crisis or safeguarding response service and is not monitored continuously.

5.2 If you believe that you or another person is in immediate danger, requires urgent medical attention, or is at immediate risk of abuse or serious harm, you should contact the appropriate emergency, health, safeguarding or statutory service rather than relying on the Community.

5.3 If information shared with us gives rise to a serious safeguarding concern, risk of serious harm, or a legal obligation to disclose information, we may take proportionate steps to seek advice, make a referral or share relevant information with an appropriate authority or service. We will handle personal data in accordance with applicable data protection law.

6. EDUCATIONAL AND SUPPORT INFORMATION – NOT INDIVIDUAL CLINICAL ADVICE

6.1 The Community provides general education, information, peer support and signposting relating to dementia and caring. It does not provide a medical diagnosis, individual clinical assessment, psychotherapy, emergency care, legal advice, financial advice or a substitute for advice from an appropriately qualified professional who knows your individual circumstances.

6.2 Although sessions may be delivered by psychologists, health or social care professionals, researchers or other experts, participation in the Community does not itself create a clinician–patient or therapist–client relationship between you and any contributor.

6.3 Information shared in groups or educational sessions is general in nature and may not be appropriate for every person or situation. You remain responsible for deciding whether and how to act on general information and for seeking individual professional advice where needed.

7. YOUR ACCOUNT AND ACCESS

7.1 Your Membership is personal to you. You must not share your username, password, access link or paid Membership with another person unless we have expressly agreed otherwise in writing.

7.2 You are responsible for keeping your login details secure and for notifying us promptly if you believe your account has been accessed without permission.

7.3 You must not interfere with, damage, reverse engineer, scrape, probe, bypass security measures on, or otherwise misuse the Community platform or any technology used to deliver it.

8. INTELLECTUAL PROPERTY AND USE OF CONTENT

8.1 Except where expressly stated otherwise, all Intellectual Property Rights in the Community and the Content belong to WISER Health and Social Care Ltd and/or its licensors. Your Membership gives you a right to access and use the Content only for your own personal educational and support purposes.

8.2 You must not copy, reproduce, distribute, sell, sublicense, publish, upload, commercially exploit or make our Content available to a third party without our prior written permission, except to the limited extent permitted by law.

8.3 You must not use the Community or Content to build, copy or develop a competing product or service, or to train, develop, fine-tune, populate or otherwise contribute to an artificial-intelligence system or dataset without our prior written permission.

8.4 You must not remove or obscure copyright, trade mark or other proprietary notices, or use our trade marks, logos, branding or distinctive materials in a way that suggests endorsement, affiliation or permission that we have not given.

9. MEMBER CONTENT

9.1 You retain ownership of any intellectual property rights you hold in Member Content. By posting or uploading Member Content where it needs to be displayed or processed to provide the Community, you give us a limited, non-exclusive licence to host, store, display and process that Member Content for the purpose of operating the service.

9.2 You must not upload or share information about another identifiable person unless you have a lawful basis and appropriate permission to do so. In particular, please avoid sharing unnecessary identifying health or care information about third parties in public or group areas.

9.3 We may remove Member Content that we reasonably believe breaches these Terms, infringes another person’s rights, creates a safety risk or is unlawful.

10. DATA PROTECTION AND PRIVACY

10.1 We will process personal information in accordance with applicable UK data protection legislation and our Privacy Notice.

10.2 Because dementia support discussions can involve sensitive personal information, members should share only what they are comfortable contributing to a group setting and should respect the privacy of others.

10.3 We may use service providers to host, administer, communicate or take payment for the Community. Where those providers process personal data for us, we will put appropriate contractual and organisational safeguards in place as required by law.

10.4 If a session is to be recorded by us, we will make this clear in advance. We will not intentionally record member support-group discussion without an appropriate basis and notice.

11. AVAILABILITY, THIRD-PARTY SERVICES AND TECHNOLOGY

11.1 The Community may depend on third-party platforms such as video-conferencing, payment, email or membership-system providers. We will use reasonable care in selecting and operating our services but cannot guarantee uninterrupted availability of third-party systems.

11.2 You are responsible for having suitable internet access, devices and software to use the Community. We are not responsible for failures caused solely by your equipment, connection or a third-party service outside our reasonable control.

12. LIABILITY

12.1 Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any statutory consumer right that cannot lawfully be excluded.

12.2 Subject to clause 12.1, we are not responsible for losses that were not reasonably foreseeable when the agreement was made, losses caused by your breach of these Terms, or business losses where you are using the Community wholly or mainly for personal purposes.

12.3 We do not guarantee a particular health, caring, relationship, financial, legal or other outcome from participation in the Community. General educational information and peer contributions should not be treated as individual professional advice.

12.4 Nothing in this clause is intended to reduce the standard of reasonable care and skill we are required to provide under applicable consumer law.

13. SUSPENSION AND TERMINATION

13.1 You may end your Membership in accordance with clause 3.

13.2 We may suspend or terminate access immediately where reasonably necessary to address serious misconduct, unlawful activity, a significant safeguarding or security risk, deliberate sharing of login credentials, or serious infringement of intellectual property rights. For less serious remediable breaches, we will normally give you a reasonable opportunity to correct the issue first.

13.3 When Membership ends, your right to access member-only Content and services ends, subject to any rights that must continue by law. Clauses intended by their nature to continue after termination, including confidentiality, intellectual property, liability and general provisions, will continue to apply.

14. GENERAL

14.1 We may update these Terms where reasonably necessary, including to reflect changes to law, technology or the Community. If a change materially affects an existing paid Membership, we will give reasonable notice where practicable.

14.2 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in force.

14.3 A delay in enforcing a right under these Terms does not mean that right has been waived.

14.4 A person who is not a party to this agreement has no right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.

15. GOVERNING LAW AND CONSUMER RIGHTS

15.1 These Terms are governed by the laws of England and Wales. If you are a consumer living elsewhere in the United Kingdom, you also retain any mandatory rights and protections available to you under the law applicable where you live, including any right to bring proceedings in your local courts where applicable.
